Marchuk Y. Mechanisms for the development of corporate governance systems of integrated agribusiness entities

The dissertation is devoted to solving the scientific problem of substantiating the theoretical, methodological and applied principles of the formation and functioning of mechanisms for the development of corporate governance systems of integrated agribusiness entities. The conceptual principles of managing the development of corporate governance systems of agribusiness entities are substantiated. The typology, taxonomy and classification of corporate governance systems are determined. The stages of formation and periodization of the development of corporate governance systems are outlined. The main characteristics and specific features of the formation of rational corporate governance systems of agribusiness enterprises and their integration associations are determined. A scientific interpretation of the economic category "corporate governance" is developed taking into account modern trends in the development of corporate structures. The peculiarities of the influence of corporate governance instruments on the economic results of the activities of enterprises and corporate associations are studied. The expediency of using modern analytical tools in strategic management as a component of the corporate governance system of agribusiness entities is substantiated. Methodological principles for integrating the principles of corporate citizenship into the strategic management system of agribusiness enterprises and their corporate associations are developed. The concept of management of the development of corporate governance systems of agricultural enterprises and their integration associations is substantiated, which provides for the comprehensive use of the results of assessing the effectiveness of corporate management at the strategic and tactical levels of management, and is also based on the formation of integrative mechanisms for motivating management personnel, generating rational strategies for the development of corporate structures of agricultural business, as well as on the harmonization of strategic goals of the functioning of such organizations with the principles of organizing activities and the effectiveness of managerial personnel. The typology and taxonomy of corporate governance theories are identified by forming and substantiating a hybrid synthetic concept of corporate governance, which integrates the provisions of existing corporate governance theories and provides for their application depending on the specific conditions of the functioning of enterprises and circumstances determined by the results of the relevant diagnostic and analytical procedures, and is also based on the principles of gradualism and evolution of the study of processes and phenomena in the field of corporate governance of micro-level entities. A scientific definition of the category of "corporate governance" has been identified by clearly and unambiguously defining the circle of persons responsible for making management decisions within the hierarchical structure of the corporation's management, as well as by substantiating mechanisms for stimulating and motivating management personnel based on the principle of balanced functioning of management units. A toolkit for assessing the independence of boards of directors has been developed, which involves developing an index of independence of boards of directors and an index of activity of boards of directors, which provide the possibility of conducting analytical procedures to assess the effectiveness of corporate governance, the rationality of selected development strategies and the validity of management decisions in terms of corporate governance modules.
