The dissertation is devoted to the study of the development of mechanisms and instruments of public administration in the field of protection of corporate rights in Ukraine. The introduction substantiates the relevance of the research topic, defines the purpose, objectives, object, subject, and research methods, reveals the scientific and practical significance of the study, and presents information on the approbation of the results and the author’s publications. The first chapter examines the theoretical, legal, and organizational foundations of public administration in the field of protection of corporate rights. The study analyzes the concepts of “corporate rights,” “public administration,” “protection of corporate rights,” and “subjects of public administration,” which ensure the conceptual integrity of the research. It is established that corporate rights, as an object of public administration, require systematic regulatory support and institutional provision. The research substantiates that public administration of corporate rights involves not only the management of assets but also the creation of favorable conditions for economic development and the protection of public interests. A conceptual model for implementing public administration in the field of protection of corporate rights is proposed. The system of subjects of public administration in this sphere is analyzed and characterized as multi-level, functionally interconnected, and oriented toward strengthening institutional capacity in the context of European integration. The second chapter analyzes the mechanisms and instruments of public administration in the field of protection of corporate rights. The essence of the administrative and legal mechanism for the protection of corporate rights is defined as a system of legal norms, administrative procedures, and institutional structures aimed at ensuring the implementation and protection of corporate rights. The author proposes a definition of the administrative and legal mechanism for the protection of corporate rights as a unified system integrating the legal framework, activities of state bodies, and administrative response procedures. The characteristics of corporate rights as an object of administrative and legal protection are generalized, and a comparative analysis of foreign models for the protection of corporate rights is conducted. The study identifies the institutional EU model, the Polish insider protection system, German approaches to risk management, and the American experience of judicial protection of corporate disputes as promising for implementation in Ukraine. It is substantiated that the instruments of public administration include legal, organizational, informational-analytical, economic, and control measures. Particular attention is paid to public control as a mechanism for ensuring openness, accountability, and legality in the field of corporate rights protection. The author proposes the establishment of a comprehensive digital platform for monitoring corporate changes and develops the structure of an index for assessing the effectiveness of public control in the field of protection of corporate rights. The third chapter analyzes foreign experience and identifies directions for improving public administration in the field of protection of corporate rights in Ukraine. A comparative analysis of corporate governance models and international standards for the protection of corporate rights is carried out. It is established that the integration of international standards into the national legal system will contribute to strengthening the institutional capacity of regulators, creating an investment-attractive environment, and harmonizing corporate legislation with EU law. A SWOT analysis of the prospects for implementing international standards is conducted, and a model of public administration for the protection of corporate rights in the post-war period is developed. It is determined that an effective system of public administration in the field of corporate rights protection should be based on the combination of a legal framework, the activities of state and regulatory bodies, control mechanisms, compliance systems, and digital services. The expediency of introducing electronic registration, e-court systems, integrated registers, and digital technologies to ensure transparency and efficiency of corporate procedures is substantiated. A roadmap for implementing the institutional model of public administration of corporate rights with a monitoring and KPI system is proposed. Scientific results of the study made it possible to formulate conclusions and recommendations of both theoretical and practical significance.
