Essay

Dissertation is devoted to determining the legal mechanism of protection of the minority shareholders’ rights in the procedures of mandatory share purchase and sale and is aimed at improving the legally established guarantees for protection of minority shareholders’ rights in order to their efficient practical application. The dissertation formulates the historical, legal and economic prerequisites for the introduction of mandatory share purchase and sale procedures. The impact of the processes of corporatization and mass privatization of enterprises in the 1990s, which resulted in the rise of joint-stock companies with a significant number of shareholders - employees of enterprises and the implementation of the provisions of Directive 2004/25/EU of the European Parliament and the Council of 21 April 2004 on takeover bids on the emergence of mandatory share purchase and sale procedures in national legislation.
