Object: processes of reformation of sea ports work. Purpose: forming of organizational&economic bases of sea ports institutional reforming in for conducting of viable and scientifically grounded transformations in the port sphere. Methods: system analysis, laws and conformities to the law of economic development, logical& analytical methods, graphic and the ekonomic&mathematics modeling Novelty: first – conceptual positions on forming and choice of alternatives of institutional reformation of sea ports which contain are developed: basic principles of realization, sequence of conducting and stages of institutional reforming, model of complex estimation of reformation consequences with an account: prognostication of goods traffics of port terminal operator, design of his production activity, estimation of risks and choice of optimum leasing rate for the port terminal operator and of port administration. It is improved – internal organization&economical mechanisms of port activity enterprises by the ground of new types of organizational structures of management by sea ports, method and instruments of reformatting, forming of the government control system, charts of management of sea port corporation, competitive edges of sea ports joint stock company.
