The thesis is devoted to the analysis of theoretical and practical foundations of socio-economic nature of the shadow of the economic system in Ukraine and the definition of conceptual framework and the development of proposals on ways and means of legalization of the domestic economy. The directions of shadow activity extension and the mechanisms of obtaining shadow income in the conditions of market transformation of Ukrainian economy have been analyzed and the specific character of forming the latter has been substantiated.
