The object of study the processes of incorporation and activities of the corporate sector on the railway. The aim of the thesis is the scientific study and development of theoretical and methodological measures to improve the organizational and economic approaches to the protection of shareholder rights corporatized rail transport. Methods: statistical, financial and economic analysis, economic and mathematical modeling, analysis and synthesis, comparative analysis and expert evaluation, deduction and induction, economic and statistical and economic-mathematical, graphical, correlation and regression analysis. Scientific novelty lies in the formation of organizational and economic principles and develop on their basis of modern approaches aimed at protecting the rights of shareholders in corporate railway undertakings. The basic problem of protecting the rights of shareholders and the analysis of the structure of Ukrainian equity. The basic problem of protecting the rights of shareholders to transport enterprises, particularly rail, and developed organizational and economic mechanism of protection of the rights of shareholders, which consists of: defining the expected theoretical value of shares in the period ahead, depending on the expected cost and risk weight based company, phased selling packages of additional issue of shares for investment projects with determining the most competitive variant mechanism to assess the financial and economic activities of the railway company and a set of internal measures aimed at preventing and combating illegal takeover of the company.
