Makedon V. Methodology of industrial enterprises restructuring: innovative approaches in the conditions of transformation of the economy

Peculiarities of restructuring processes in the field of manufacturing enterprises were determined and evolution of accumulation and aggravation of processes of organizational changes in industry were investigated at theoretical and methodological level. Model of enterprise restructuring that is to comprise four logical-component stages of evaluation of restructuring need, preparation for restructuring, performance of restructuring actions, and results evaluation was determined. Peculiarities of integrative restructuring process in the conceptual interaction with a model of an enterprise life cycle were determined. Organizational and economic nature of corporate merger and acquisition agreements and their accession into integrative restructuring were studied, author’s definition of economic category “integrative restructuring” was given. On this basis, points of control were suggested to be used at different stages of enterprise’s life cycle with a view to evaluate efficiency of financial and operational activities. Scientific and methodical approach to determination of synergic effect of restructuring measures was justified and tools for corporate evaluation in preparation for merger or acquisition process were introduced. An economic and mathematical model of value determination of conjoined structure, premiums distribution and calculation according to integrative restructuring results was developed. A scientific and methodical approach to determination of efficiency level of integrative restructuring by means of merger and acquisition that is based on the formation of criteria of merger and acquisition agreement. Methodology of creation and functioning of corporate entities of manufacturing enterprises as a result of integrative restructuring was elaborated. Business modelling of the process of integrative structures creation was performed. An algorithm of operation of integrative restructuring was elaborated and a model of creation of manufacturing enterprises’ integrative structure was developed. Methodical approach of improvement of efficiency level of manufacturing enterprises’ integrative structure functioning was suggested. Factors and vectors of reaching a desirable level of efficient integrative structure were determined. Methodical approach to management of integrative restructuring process in the field of manufacturing enterprises was developed and represented in the form of a project of creation and efficient functioning of integrative structure within performance of restructuring (merger/acquisition).
