Sayenko V. Legal Regulation of Insider Trading on the Securities Market.

The dissertation contains complex analysis of theoretical and practical problems related to purchase and sale of securities based on inside information. It outlines the essence of insider trading prohibition and defines the notions of inside information and insider. The dissertation analyzes the laws of the USA and the European Union member-states in the sphere of insider trading regulation and describes the problems of enforcement. It explores the legal grounds for introduction of insider trading regulation in Ukraine; the correlation between the notion of insider trading and the notions of confidential information and commercial secrets; the existing requirements for disclosure of information on the securities market and limitations on use of information by certain employees of professional securities market participants. The dissertation proposes the text for the law that is aimed at regulating the use of inside information in Ukraine based on the internationally recognized models and experiencein this area.
