Object the process of forming of corporate structures in an industrial complex, kinds and machineries of co-operation of associate by the terms of production of enterprises. Purpose: complex research of directions of creation of organizational-economic mechanism of forming of the integrated corporate structures. Methods: dialectical method of cognition of the economic phenomena, position of economic theory, theoretical and methodological developments of home and foreign scientists in area of corporate management, legislative acts of Supreme Soviet of Ukraine, decision of Cabinet of ministers of Ukraine, decrees of President of Ukraine. A new mechanism of organization of market of coal which supposes the use of optsionov as a right to the purchase of assets is first offered of principle. It is offered as a criterion of distribution of the combined profit of the integrated structure to apply a such economic category, how the added cost is. Organizational-economic mechanism of forming of the integrated corporate structure by the enterprises of technological chainlet of 'coal - coke - metal' with consolidation of financial resources in a central company. The mechanism of transfert prices, which is based on achievement of balance of economic interests between enterprises included in the integrated structure, is improved.
