The object of the research: process of distribution and realization of the corporate control over joint-stock companies; the purpose of work: generalization and development of scientific-theoretical positions, a substantiation and development of methodical approaches and practical recommendations concerning the organizational - economic mechanism of of the corporate control distribution and realization in joint-stock companies; the technique of research and the equipment: theoretical generalization, the analysis and synthesis, the statistical analysis, formalization, the theory of games, the clustery analysis, the taxonomy analysis, a graphic method; theoretical and practical results: it is advanced:definition of essence of the corporate control, which unlike existing approaches (joint-stock, administrative, motivational) it is offered to consider as flexible system of maintenance of interests of a wide range of participants of corporate relations (subjects of the corporate control), based on the rights of members concerning participation in a corporate governance, on ways of realisation of these rights and on forms of interaction of participants in the course of acceptance of strategic decisions in joint-stock company. Feature of the offered approach consists in differentiation of possible types of the corporate control in joint-stock companies on the basis of an establishment of a complex of strategy of subjects of the corporate control concerning participation in a corporate governance; definition of structural construction of the organizational-economic mechanism of the corporate control on the basis of streamlining of hierarchy of interests, rules and norms of behaviour, tools of influence of participants, the purposes of joint-stock company, principles of the corporate control and management of joint-stock company, organizational-economic maintenance of administrative activity in sphere of distribution and realisation of the corporate control. Unlike other approaches, it is offered to carry out streamlining of the specified hierarchy on the basis of an establishment of interests of participants of corporate relations which cause the maintenance of other components of the organizational-economic mechanism of the corporate control, and are simultaneously defined by a condition and dynamics of interaction of these components in realisation of corporate relations; Ordering of factors of distribution and realisation of the corporate control, which difference consists in allocation on the basis of an establishment of character of influence of participants of corporate relations on management of joint-stock company of such groups of factors: institutional conditions of formation and development of corporate relations; organizational maintenance of a corporate governance in joint-stock company; forms of maintenance of interests of subjects of the corporate control in corporate relations; have received the further development: a substantiation of local strategy of influence of participants of corporate relationson acceptance of strategic decisions in sphere of a corporate governance of joint-stock company on the basis of modelling of distribution of the corporate control with use of a mathematical apparatus of the theory of games. Feature of this approach consists in the account of degree of the initiative of participants of corporate relations at acceptance on itself of powers on realisation of the corporate control (behind this sign allocation of initiative and reacting group of corporate controles subjects is offered) in the course of definition of the general strategy of the corporate control in joint-stock company; the methodical approach to a choice of the general strategy of the corporate control which, unlike other approaches, it is offered to carry out on the basis of carrying out of a complex estimation of parametres of participation of shareholders in acceptance of strategic decisions (to signs: Attraction degrees to a corporate governance, activity, initiative, influance and coalition shareholders), andalso organizational level of a corporate governance in joint-stock company (in which parametres completeness of a regulation of activity of higher bodies of management of joint-stock company, representation of interests of shareholders, security of financial expectations, a condition of corporate culture, level of corporate development is); criteria of an estimation of productivity of the corporate control, which feature of definition consists in a dependence establishment between, on the one hand, selected general strategy and corporate controles organizational-economic mechanism and, with another, degree of maintenance of interests of participants of corporate relations results of administrative activity of higher bodies of management of joint-stock company.
