Research object: The institutional mechanism of inclusion subject of management in functioning and development of economic system. Object of research: Institutional development of economic entities under the conditions of market transformation. Research methods: a historical-logic, dialectic method, an induction and deductions, a method of the analysis and synthesis, a method of institutional approach. Results, novelty: The basic features of the economic entity are as a part of the whole economic system described. The economic liberty of economic entity is defined as the realization in practice of conflicting unity of internal values and external restrictions which determine the way of free choice. As it was shown we have to distinct the opportunistic internal motivation and opportunistic external impact in the opportunistic behavior.
