The thesis is devoted to theoretical and practical problems of liquidation of legal entities of different legal forms. Defined the notion of the elimination of a legal entity that shows the content of the process of termination of the legal entity without legal succession. Installed bases and the main stages of the elimination of entities different forms. Considerable importance is payed heed to analyze the issue of priority of creditors in the liquidation of legal entities of various kinds. Proved the necessity of developing a unified approach to the process of elimination, namely to the grounds for eliminating of legal entities, the decision about liquidation, procedure of liquidation, the priority of creditors. Also in thesis analyze specific reasons of elimination of legal entity established by law for certain entities. Grounded need for a clear list of entities, which allowed the establishment of special grounds eliminate suitable only to persons specified organizational-legal form
