Kostova N. Formation of joint-stock companies under the civil legislation of Ukraine.

The thesis concerns the determination of legal principles for the formation join-stock companies. The work researches the stages of join-stock company under the legislation of Ukraine. The author pursues a detailed research of the legislative acts determining the order of establishment of join-stock companies. The work defines the content of the join-stock company formation agreement and the peculiarities of the statutes content of join-stock companies depending on their type (private, public). The author proves the necessity to determine a partial payment of the price of shares at the stage of join-stock company formation, to determine the conditions and order of suspension of the founder’s participation in process of join-stock company formation. The research deals with the join-stock company founder’s rights protection. The author substantiates the necessity to establish the practice of alternative procedures in the settlement of corporative disputes. The proposals as to the perfection of the join-stock companies of Ukraine have been formulated on the grounds of the complex analysis of legal regulation of the relations arising during join-stock companies formation and exercising of the founders’ rights.
