Essay

The object of the research: institutional transformation of economic relations of the corporate sector of the economy. The purpose of the research: to systemize the contradictions of the corporate sector of the economy in terms of market transformation and generalize the ways of their solving at the present stage of the development of the economic system of Ukraine. The methods of the research: abstract and logical, inductive and deductive, economic and statistic methods, modeling methods, functional analysis and research aspects of a new institutional economy. The results and novelty: the changes in the structure of corporate conflicts i.e. the aggregation of the conflict between majoritarian and minoritarian shareholders, between shareholders and management caused by institutional ruptures stipulated by the absence of institutional ways of solving the conflicts have been proved to be the indicator of the risk of illegal redistribution of property. The systematization of the corporate conflicts by subjective criterion has been updated by defining the conflict between majoritarian shareholders, minoritarian and majoritarian shareholders, between shareholders and management, minoritarian shareholders, management and the employees as shareholders of the enterprise. There have been defined theoretical approaches to explain the mechanism of solving corporate conflicts by distinguishing a number of extrajudicial complementary procedures that enable to make fair and acceptable decisions for both parties in conflict. The definition of the economic content of the corporate conflicts has been developed by working out a multilevel classification of purposes of the initiative party of the conflict. There have also been grounded the basic prerequisites of solving contradictions of the corporate sector operation and development in the transformation economy by institutionalizing corporate conflicts and specifying the rights and liabilities of the participants of corporate relations and imposing sanctions for breaking these rules. The concepts of the ways to property protection from raider attacks by extending the existing ones with a burden as a method to decrease the proceedings about property for a potential raider have been developed. Area of application: the development of the efficient mechanisms of implementing and protection the interests of the participants of corporate relations in order to optimize them.
