Shevchenko N. The Legal Regulation of Termination of Economic Companies by Reorganization

The dissertation is devoted to the research of academic and practical problems of the legal regulation of economic companies' termination by reorganization. General analysis of economic companies' termination by reorganization is made and its correlation with reorganization of economic companies is specified. The special features of legal succession during the reorganization of economic companies are determined. The types of reorganization of economic companies are analyzed and these which follow the dissolution of such economic entities are defined . The order of its realization is explored, the role of managing bodies of economic companies in the process of termination in reorganization is estimated, the special features of exercise of their authorities during realization of such procedure are detected. The special attention is attended to the defence of rights and legal interests of creditors and participants (shareholders) in the case of termination of economic companies by reorganization. The lawsuits, concerning the termination of economic companies by reorganization are analyzed, the bases and consequences of such procedure appealing are found out. The propositions for improving the Ukrainian legislation in the sphere of the legal regulation of termination of economic companies by reorganization as well as the practice of its application were made by the author relying on the results received during the research
