Zarudnev E. Legal status of subjects which provide economic activity in German Federal Republic

Research object: aggregate of relations that folded in the process of creation, activity and stopping of management subjects in German Federal Repablic and Ukraine. Research purpose: exposure and generalization of basic conformities to law, modern positions and withstand tendencies of legal principles of status of management subjects in German Federal Repablic taking into account influence on such principles of right of ЕС and ground on their basis of new positions, that sent to perfection of legal status of management subjects in Ukraine. Research methods: dialectical, formal logical, historical, system structural, analysis and synthesis, comparative legal, method of scientific prognoses. Theoretical and practical value: theoretical generalization is carried out and solution of scientific task, which consists in work of conclusions in relation to legal status of management subjects in German Federal Repablic and ground taking into account experience of German Federal Repablic of suggestions in relation to perfection of legal status of management subjects in Ukraine, is offered. Sent in Verkhovna Rada of Ukraine project of law of Ukraine "About making alteration in the legislation of Ukraine with the purpose of perfection of legal status of management subjects in Ukraine" was considered and will be taken into account at preparation of corresponding legislative act. Research results are inculcated in activity of the Legal firm "RP GROUP FARINNIK" LLC and productive enterprise of "DONTERM" LTD. Scientific novelty: The correspondence of conceptual framework of German, EU and Ukrainian law have been determined. The influence of EU law on German law has been searched. The way of securing of publicity of information about legal entities and individual entrepreneurs has been elaborated, as well as the way of participation of employees in managing their company. Official duties of companies' managers have been specified, as well as the procedure of their appointment and liability. The legal status of the property of public companies and the procedure of incorporation of public companies has been refined. The process of companies' termination has been specified by stipulating the rule about consigning property of known to the liquidator creditors during limitation period and by stating in business correspondence the procedure of company termination is running.
