Kolomiyets-Ludwig E. Legal Regulation of Mergers and Takeovers of the Economic Entities in Ukraine

The thesis is devoted to the issues of the fulfillment of mergers and takeovers by economic entities of various legal forms and forms of ownership. The content of the legal relationship covering the term "mergers and takeovers" according to the national and foreign legislation norms has been analyzed, the particular features of some types of mergers and takeovers have been described. Due attention is focused on legal regulation of mergers and takeovers in private and state sectors of economy, such as takeovers by assets and shares acquisition, insolvency procedure as the means of control of the economic entity, mergers and takeovers of foreign companies. The foreign and local ways of mergers and takeovers, especially the hostile takeovers and methods of protection, have been investigated. The innovative instruments for the effective performance of mergers and takeovers deals and the prospects of their introduction to the national legislation and practice have been researched.
