Pereverzeva L. Legal status of subsidiaries

Research object: public relations arising in the process of creation, operation and termination of activities of subsidiaries. Research purpose: to improve the theoretical foundations of the legal status of subsidiaries and development of proposals in legislation aimed at balancing private and public interests in the process of activity of such enterprises. Methods of research: dialectical, historical, formal-logical, comparative-legal, systemic-structural, analytical and synthetic. Theoretical and practical value: is a comprehensive economic and legal study of the status of subsidiaries in which justified a number of new scientific statements and proposals on improvement of legislation of the subsidiaries. Conclusions and suggestions received during the preparation of the draft law of Ukraine on the legal status of the subsidiaries were taken into account in the work of the Verkhovna Rada Committee on economic policy during the legislative work. The research results were used in the activities of Public joint stock company "Donbasenergo" to conclude contracts of the subsidiaries to the controlling company; Chernihiv city Council in the preparation and amendments to the constituent documents of the subsidiary companies; the chamber of Commerce of Ukraine. Scientific novelty: the study of the formation and development of legal form of subsidiaries, identified the legal nature of the relations holding. Analyzed the legal status of subsidiaries in foreign countries, revealed the concept of the subsidiaries and the ways of their use in Ukraine. It studies problems related to the definition of subsidiaries, and proposals for its improvement. The analysis of the classification of subsidiaries. Analyzed the governance of subsidiaries, the legal regime of property, liability issues, and proposals for improvement of legal regulation of the relevant issues, depending on the form of subsidiaries. Scope of use: the subjects of legislative initiative, the subjects of enforcement activities, the business entities; institutions of higher education.
