Sorochenko A. Corporate rights and duties: economic and legal aspects

The thesis is devoted to topical issues of legal regulation of corporate relations. The author proposes definitions of "quasicorporate rights", "corporate relationships", "share of additional emission". The division of corporate rights and duties to common and specific is executed. Model List of common corporate rights and duties is proposed, and also the author justifies recommendations to solve the problems arising from the implementation of the "appraisal rights" and the right to receive dividends by participants of business entities (corporations). The author classifies the juridical responsibility in corporate relations according to such criteria as subjects of responsibility, type of law's violation, type of corporate duties and so on. In addition, the author argues the division of corporate relations' subjects to typical and special, and offers the division of reasons of corporate rights' acquisition and termination to basic and secondary. The author outlines the typical problems of realization of common and special corporate rights and duties and proposes solutions.
