Kuchmiienko O. Abuse of rights in corporate relations

The thesis is an independent academic research on theoretical and practical issues of abuse of rights phenomenon and legal regulation of its prevention and protection in corporate relations. The research generalizes theoretical achievements and approaches to resolve of abuse of rights problem as well as its individual forms including foreign countries experience. The special attention is devoted to the system of forms and criteria for qualification of abuse of rights in corporate relations, analysis and formation of propositions to improve institutes of interested party transactions, derivative actions, independent directors, squeeze-out and sell-out. The research results in new approaches to analysis of abuse of rights and scientifically grounded propositions for improvement of judicial practice and particular legal rules of Ukrainian legislation and bylaws of the company taking into account the best world practice.
