Miahkyi A. Corporate Governance in Accordance with the Ukrainian Law

This Dissertation is an dealing with legal support of corporate governance in Ukraine. The paper clarified the concept of corporate governance and established its relationship with the concept of corporate control, detailed the historical aspects of the formation and development of this institution, defined the stages of development of the national legislation in the studied problems. Foreign legislation on corporate governance has been studied, specific areas of improvement of the national legal framework have been justified on its basis. In addition, the specific features of procedure for the creation of certain corporate bodies have been defined, and the exclusive competences of each of them have been identified. The role of general meeting in the corporate structure have been defined; the proposals for the improvement of the procedure for holding of ordinary and extraordinary meetings have been justified. Special attention have been paid to the research of the legal status of a senior official and its relationship with the corporate signatory status. The competence of the supervisory board of the company have been also analysed and detailed, the procedure for the election of Chairman thereof has been also further defined. The concept of control in the corporate sector has been defined with the substantiation of the relevant legislative proposals; also, forms of control over the activities of a corporate executive body have been identified.
