Holiver V. Quality assessment of corporate governance at joint-stock companies

The dissertation is devoted to theoretical substantiation and development of methodical approaches and practical recommendation for the corporate governance quality assessment efficiency and measures for its bodies’ activities enhancement. The methodical approach to the definition of an integrated indicator of the quality assessment of corporate governance based on a combination of rating assessment and the assessment of the effectiveness of the current activities of corporate governance bodies is developed. The rating assessment of the quality of corporate governance of the joint stock company as a whole is proposed based on the rating assessments of the quality of the activities of its bodies (supervisory board and executive body). The methodical approaches to assessing the quality of their activities are substantiated. Practical measures to improve the quality of activities of corporate governance bodies, that are provided for the creation of a collective advisory body from the representatives of shareholders and independent directors (candidates for the supervisory board of the company) is proposed. The role of this body as a collective personnel reserve of the supervisory board is substantiated. The complex indicator of financial results of the company's activity is improved on the basis of including in its composition changes in the difference between actual and marginal liabilities. The model of the dependence of this indicator on the rating assessments of the quality of the corporate governance bodies activity is developed.
