Khomenko V. Termination of Business Entities under the Civil Law of Ukraine

The thesis is devoted to the termination of business entities theoretical framework development. It is studied (1) the legal regulation genesis of the termination of business entities and (2) general provisions on the termination of business entities under the Civil Law of Ukraine on a comprehensive study of the issues of legal regulation of the termination of business entities. It is also determined the legal nature of business entities liquidation, reorganization and other kinds of business entities termination. The author’s particular attention is paid to current issues of enforcement practice on termination of business entities: (1) characteristics of the decisions on termination of a business entity; (2) remedies that may lead to the termination of business entities; (3) legal capacity of a business entity under the decision on its termination. It is fundamentally studied the evolution of business entities termination under the Roman Civil Law, the Medieval Law, Pre-revolution Law, Soviet Law and the Law of independent Ukraine. Principle features and results of each named period of the termination of business entities development are defined.
