Essay

Thesis is devoted to theoretical and legal analysis of scientific concepts of the notion of civil liability, determination of grounds and types of civil liability of members of entrepreneurial companies and formation of proposals for improving the norms of the current legislation in this area.In the paper, based on scientific developments, it is indicated that civil liability is a kind of legal liability that has a retrospective (negative) character, which has such general features of legal liability as state coercion, condemnation and negative property consequences for the offender. The doctrinal approaches to the concept of civil liability have been analysed, its principles and functions have been outlined, legal status of members of entrepreneurial companies as subjects of civil liability has been characterized and the grounds, conditions, forms and types of civil liability of members of entrepreneurial companies have been considered.According to the results of solution of tasks that were set in the research, it has been argued that it is necessary to differentiate the liability of members of entrepreneurial companies in the obligatory relations and the liability of members in corporate relations, depending on the type of relations, according to the range of subjects, before whom the member of the entrepreneurial company bears liability, and from the nature of the offense (obligatory or corporate).
