The dissertation is a comprehensive study of the legal status of limited liability and additional liability companies as subjects of civil law. The paper clarifies the specifics of the legal regulation of the establishment and operation of limited liability and additional liability companies in the context of updating corporate law. The author's definition of a large-scale contract as the actions of the company (its bodies, authorized persons) aimed at the acquisition, change or termination of civil rights and obligations that affect the organizational, rather than the current activities of the company has been proposed. An agreement between two or more parties aimed at acquiring, changing or terminating civil rights and obligations that affect the organizational, as opposed to the current activities of the company, should be considered a large-scale agreement. Scientifically substantiated recommendations for the improvement of civil legislation in terms of legal regulation of limited and additional liability companies have been developed.
