The meaning of contractual responsibility Institute, which has to prevent the breaking of the law in commercial turnover, and is this connection the role of commercial turnover in the development of undertaking activities in Ukraine, are scientifically shown in the thesis. Special scientific recommendations, concerning legislation improvement, regulating a complex of relations in commercial turnover were formulated. Proposals concerning perfection of category apparatus of civil law science were put forward.
