Popov O. Formation of Corporate Governance System for Machine Building Joint-Stock Companies

Subject of study: The processes of development and interaction of participants in corporate relationships, the combination of actions whereof forms an institutional environment of a corporate governance system. Object of work: The elaboration of theoretical and methodological and conceptual provisions, of the methodological support of forming a corporate governance system by joint-stock companies in the sphere of machine building. Methods of study and tools: Theoretical generalization; systems analysis; analysis and synthesis; morphological analysis; statistical analysis and engineering-economic analysis; formalization; cluster analysis; Delphi technique; game theory; and graphic approach. Theoretical and practical results: the provisions of the institutional concept of corporate governance in a joint-stock company; theoretical and methodological basis of forming a corporate governance system; theoretical substantiation of the composition of objective social and economic conflicts whose appearance is conditional on a dualistic nature of the origin of an corporation; the regularities of forming, and the structure of, an institutional environment for a corporate governance system; the systematization of conceptual and categorial apparatus of corporate science; the provisions of the concept of institutional governance of corporate relationship; procedural provisions concerning the establishment of a corporate controlling type; the substantiation of both structure and sequence of the formation of an organizational and economic mechanism of corporate governance; methodical approach to the assessment of a structural organization of corporate relationship; methodical approach to the selection of methods of exercising government corporate rights; the classification of joint-stock company features by the characteristic of the identification sphere of peculiarities of structural building and activity; methodical approach to the selection of an organizational form of corporate partnership in the implementation of the projects of interregional collaboration.
