Object of research: process of restructuring of production potential in the conditions of globalization. Purpose research: development of conception of forming the mechanism of restructuring of production potential, allowing to offer the complex of the recommendations directed on the improvement of structural changes in the conditions of globalization. Methods of research: method of logic analysis, quantitative and qualitative analysis, systems approach, evolutionary and institutional approach. Results: complex conception of restructuring of production potential in the conditions of globalization is developed; the model of diversification of production potential on the basis of optimization of positive consequences of financial globalization is developed; classification of global changes in development of production potential is offered; a concept of restructuring of production potential is specified; notion of the necessity of passing ahead development of non-material forms of wealth, forming of mechanism of intellectual rent is offered.
