The defended dissertation is devoted to the results of theoretical research in the sphere of creation of conseptual foundations and explanation of components of legislation of the shadow economy. The necessity of application of the incentive concept of legalization of shadow economy is proved in the work. This concept differs from the current repressive - retaliatory practice. It is directed on involving of shadow economy to a legal field of the state.
