Suprun N. National model of corporate governance: institutional and evolutional analysis

There have been researched the process of formation and development of corporate relations in the national economic environment in the context of its display in the scientific literature of XIX - beginning of XXI century. We identified the factors and institutional determinants of historical patterns of evolution of the national model of corporate governance as a system of institutional mechanisms to protect shareholder rights. Methods: institutional evolutionary, comparative, chronological, diachronic and synchronical. It was determined "national model of corporate governance" as a bipolar structure, which is characterized by the convergence of elements outsider and insider control. There were developed institutional barriers to the effectiveness of corporate governance in Ukraine. We have introduced recommendations on improving corporate governance mechanisms and the formation of corporate social responsibility. Results can be used in corporate governance.
