Essay

The thesis is comprehensive scientific research on the legal institute of liquidation of legal entities in the civil law of Ukraine. Theoretical, legal and methodological foundations of the institute of liquidation of legal entities in Ukraine were researched. In the relevant context, the evolution of legal regulation of liquidation institutions in Ukraine was traced, condition of scientific development of the problem was determined, the methodology of the study was outlined, the concept of liquidation was formulated and its classification was conducted. It has been justified necessity of definition additional grounds that would allow a participant of a legal entity to file a lawsuit to the court about its liquidation, in particular, when the issue of liquidation is objectively impossible to decide by the general meeting due to lack of quorum of votes on the general meeting (in case if the location of the participants is unknown or one of the participants is in a state of termination). The definition of "liquidation of legal entities in civil law" is formulated as a legal procedure regulated by law, which results in the complete termination of a solvent legal entity as a subject of law, with a corresponding entry in the state register, with the possibility of partial transfer of rights and duties to third parties (assignees) in separately defined cases which is enshrined by the law.
