Rykova N. Institutional mechanisms of state regulation of corporate relations: Ukraine and the European experience

The dissertation is devoted to the theoretical substantiation and development of scientific and practical recommendations on improvement of institutional mechanisms of the state regulation of corporate relations in Ukraine taking into account the European experience. It is proposed to change the principles of formation of supervisory boards of state unitary enterprises and companies with a predominant state share in the authorized capital on the principles of membership in councils exclusively of citizens of Ukraine. Improving organizational mechanisms. The conceptual and categorical apparatus of research is analyzed and specified. The concept of «joint stock companies as an object of state regulation» is singled out, which means organizations with a complex management structure based on collective capital, characterized by: a combination of corporate property and shareholder property; large-scale production, in the results of which the whole society is interested; playing the role of major market players, often in the format of a monopoly; making the largest tax contributions to the state budget; formation of large groups of employees, which necessitates special mechanisms of social dialogue. The system of criteria for the formation and selection of members of supervisory boards of state unitary enterprises and companies with a predominant share of state authorized capital has been improved. An approach to improving state regulation of the domestic stock market by expanding the powers of the National Commission on Securities and Stock Market of Ukraine. The directions of development of normative-legal mechanisms of state regulation of corporate relations in Ukraine are substantiated.
