The dissertation is devoted to a comprehensive study of the problems of corporate disputes on the appealing of decisions of corporate governance bodies of the company, aimed at the development of proposals for improving the current corporate and commercial procedural legislation, taking into account foreign experience and court practice. The views of scientists regarding the definition of the concept of a corporate dispute are considered; a corporate dispute is proposed to be defined as a dispute between a corporate-type legal entity and its participant (founder, shareholder, member), including a terminated participant, or between participants (founders, shareholders, members) of a corporate-type legal entity, related to the acquisition, exercise, termination, protection of corporate rights and related interests protected by law, performance of corporate obligations, corporate management, creation, activity and termination of a legal entity. Qualifying features of corporate disputes are determined: content (corporate relations); special subject composition; reasons for occurrence; multiplicity and exclusive character of legal remedies. The need for a comprehensive understanding of the nature of corporate relations is emphasized – relations related to the acquisition, exercise, termination, and protection of corporate rights and related interests protected by law, performance of corporate obligations, corporate management, creation, activity, and termination of a corporate-type legal entity.
